LICENSE AGREEMENT
Underworld Content grants you a limited, non-exclusive license to use the designs sold through our web site (the "products") in accordance with these Terms and Conditions (the "license") issued by our company.

a) LIMITED USAGE AGREEMENT
You may use each individual product on a single website only, belonging to you/your company. You MUST purchase a design for each website you own.

b) MODIFICATIONS
You are authorized to make any necessary modifications to our designs to fit the needs of your website.

c) UNAUTHORIZED USE
You may not place any of our products, modified or unmodified, on a diskette, CD, website, P2P service or any other medium and offer them for redistribution or resale of any kind.

d) ASSIGNABILITY
You may not sub-license, assign, or transfer this license to anyone else without prior written consent.

e) OWNERSHIP
You can not claim intellectual or exclusive ownership to any of our products, modified or unmodified. All products are property of Underworld Content. Our products are provided "as is" without warranty/guarantee of any kind, either expressed or implied. In no event shall Underworld Content be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use our products.

f) CHOICE OF LAW AND FORUM
These Terms of Use shall be governed by and construed in accordance with the laws of the Province of Manitoba, Canada excluding its conflicts of law rules. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to these Terms of Use or your use of this Site shall lie only in the state courts of Winnipeg in Manitoba, and you further agree to and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.
